These Terms govern your use of eDarpan's Virtual Office service at 3rd Floor, Plot No. 2, Capital Chambers, LSC, Pocket 6, Sector 1A, Nasirpur, Dwarka, New Delhi, Delhi - 110045 ("Premises"). By subscribing to any Virtual Office plan, you ("Client") agree to these Terms in full.
1. Scope of Service
eDarpan ("Provider") provides the Client with the right to use the Premises address solely for business correspondence, branding, and the lawful regulatory purposes specified in the Client's chosen plan. The address may NOT be used as a residential address, place of physical operations, manufacturing, warehousing, retail point of sale, or for any unlawful, unethical, or fraudulent activity.
2. Plans & Inclusions
- Business Address (₹8,999/year) — Use of the Premises address as a business mailing/communication address; receipt and storage of letters and small parcels for the Client.
- GST Registration (₹12,999/year) — Includes everything in Business Address plus the documentation pack required for the Client's GST application (see Section 6).
- Company Registration (₹24,999/year) — Includes everything in GST Registration plus the documentation pack required for ROC/MCA company or LLP incorporation (see Section 6).
Each plan is billed annually, in advance, and is non-refundable once activated. Plan limits and benefits are described in Sections 3–8.
3. Mail & Courier Handling
eDarpan will receive and securely store ordinary business letters, statutory notices, bank communications, and small parcels addressed to the Client at the Premises. The Client is responsible for collecting their mail and parcels through their own arrangements and at their own cost. Acceptable arrangements include:
- Self-pickup from the Premises during published business hours after prior intimation.
- A courier or pickup agent arranged and paid for by the Client.
- Reverse-pickup using a third-party logistics partner of the Client's choice.
eDarpan does NOT, by default, dispatch, forward, or deliver mail to any other address. Outbound forwarding is not included in the listed price. If forwarding is requested as an exception, the Client agrees to bear all courier/postage charges plus a handling fee, payable in advance. eDarpan is not liable for any loss, damage, or delay caused by the courier service used.
eDarpan may dispose of items unclaimed for more than 60 days after intimation, of perishable items, or of items reasonably suspected to be hazardous, prohibited, or in breach of these Terms.
4. Document Acceptance & Liability
eDarpan acts only as a recipient and custodian of mail. Receipt of any document by eDarpan does not constitute review, acknowledgement, or acceptance of its contents on behalf of the Client. The Client is solely responsible for monitoring intimations, collecting documents in time, and acting on any notices received.
5. Restricted Items
The Premises may not be used to receive: cash, gold or other precious metals, hazardous chemicals, perishables, weapons, narcotics, items requiring temperature control, items above 5 kg or 60 cm in any dimension, or anything prohibited by Indian law. eDarpan reserves the right to refuse acceptance of any such item without notice.
6. GST & Company Registration — Documentation Only
For applicable plans, eDarpan provides a documentation pack that may include: a No-Objection Certificate (NOC), a Rent / Leave-and-Licence Agreement, a recent Utility Bill, signage proof, and any standard supporting documents typically required by tax and company law authorities.
Important: eDarpan does NOT itself file, submit, or process the Client's GST or company registration. Filing on the GST Portal, MCA portal, or any other government portal is to be carried out by the Client or the Client's own Chartered Accountant, Company Secretary, or legal representative. eDarpan's responsibility is limited to providing the documents in industry-standard format.
eDarpan makes no representation or warranty regarding the outcome of any application. Approval, rejection, queries, deficiencies, additional documents required by an officer, surveys, physical verifications, and the timing of any registration are at the sole discretion of the relevant government authority. eDarpan shall not be liable for any rejection, delay, denial, suspension, cancellation, query, or non-grant of registration.
The Client agrees to be physically available, or to have a representative available, at the Premises if a physical verification visit is conducted by any government authority. Failure to comply with such a visit is the Client's sole responsibility.
7. Meeting Room Access
Subject to availability, the Client may book the Premises' meeting room in advance. Standard plans include limited complimentary hours per quarter as published on the website at the time of subscription. Additional hours may be charged separately. Cancellations made less than 24 hours before a booking will not be refunded.
8. Subscription, Renewal & Termination
Subscriptions run for a 11-month term from the activation date. The Client must renew before expiry to continue using the address. eDarpan may suspend services immediately on non-payment, on misuse of the address, on receipt of a credible regulatory complaint, or on a breach of these Terms. eDarpan may also terminate the subscription at any time on 30 days' written notice.
On expiry or termination, the Client must immediately stop using the address on all websites, listings, registrations, and communications, and apply for a change-of-address with all relevant authorities. eDarpan is not responsible for any consequences arising from the Client's failure to update the address after termination.
Subscription fees are non-refundable except as required by law. Documentation already issued (NOC, rent agreement, etc.) for the term is non-revocable but the underlying licence to use the address ceases on termination.
9. Acceptable Use
The Client warrants that the Client and the Client's business are genuine, lawful, and that all information shared with eDarpan is accurate. The address must not be used for: shell entities created for fraud or tax evasion, money laundering, payment-gateway abuse, prohibited products, services barred under FEMA / Companies Act / Income Tax Act / GST Act, or any activity for which the use of a virtual address is prohibited by sectoral regulators.
10. KYC & Verification
The Client agrees to provide PAN, Aadhaar (or equivalent ID), business proof, and a director / proprietor's photograph as part of activation. eDarpan may share KYC information with auditors, statutory authorities, or law enforcement as required by law.
11. Limitation of Liability
To the maximum extent permitted by Indian law, eDarpan's aggregate liability under these Terms is limited to the subscription fees paid by the Client for the current 12-month term. eDarpan is not liable for any indirect, incidental, consequential, or special damages, including loss of profit, loss of goodwill, loss of business opportunity, regulatory penalties, GST input credit denials, or third-party claims.
12. Confidentiality & Privacy
eDarpan will keep the Client's business and KYC information confidential and use it only for service delivery and statutory compliance. The Client's information may be processed in accordance with the eDarpan Privacy Policy.
13. Changes to These Terms
eDarpan may update these Terms from time to time. The current version is available on the website. Material changes will be notified by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of India. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Delhi, India.
