Welcome to eDarpan. These Terms of Service ("Terms") govern your use of our website edarpan.com and all related services, products, and platforms operated by eDarpan. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

  • "Company" refers to eDarpan, located at 3rd Floor, Capital Chambers, Plot no. 2, LSC, Vardhman Entrance Plaza, Nasirpur, Sector 1A, Dwarka, New Delhi, 110045.
  • "Services" refers to all products, services, and platforms offered by eDarpan including but not limited to IT consulting, virtual office services, SMS services, WhatsApp Business API, software development, and digital products.
  • "User" refers to any individual or entity accessing or using our Services.

2. Acceptance of Terms

By accessing our website or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

3. Services

3.1 Virtual Office Services

  • Virtual office plans are billed annually unless otherwise specified.
  • The address provided is for business registration, GST registration, and mailing purposes only.
  • Physical occupation of the premises is not included unless explicitly stated in the plan.
  • Meeting room access is subject to availability and advance booking.
  • Mail and courier handling is limited to business correspondence only.

3.2 IT Services & Software Development

  • Project timelines and deliverables will be defined in separate service agreements or statements of work.
  • Intellectual property rights for custom software will be transferred upon full payment unless otherwise agreed.
  • We provide a warranty period of 30 days post-delivery for bug fixes.

3.3 Reseller Services (Google Workspace, Microsoft 365, SMS, WhatsApp)

  • These services are subject to the respective provider's terms and conditions.
  • We act as an authorized reseller and are not responsible for service outages caused by the primary provider.
  • Pricing is subject to change based on provider rate revisions.

4. User Obligations

You agree to:

  • Provide accurate and complete information when using our services
  • Use our services only for lawful purposes
  • Not misuse, abuse, or attempt to gain unauthorized access to our systems
  • Not use our virtual office address for any illegal or fraudulent activities
  • Maintain the confidentiality of your account credentials
  • Comply with all applicable laws and regulations

5. Payment Terms

  • All prices are listed in Indian Rupees (INR) for domestic customers and US Dollars (USD) for international customers, unless otherwise specified.
  • Payments are processed securely through Razorpay (for INR) and PayPal (for USD).
  • All fees are non-refundable unless explicitly stated or covered under our refund policy.
  • Late payments may result in service suspension or termination.
  • Applicable taxes (GST) will be charged as per prevailing rates.

6. Refund Policy

  • Virtual Office: 30-day money-back guarantee from the date of activation. After 30 days, no refunds will be issued.
  • Software Development: Refunds are governed by the specific project agreement.
  • Subscription Services: No refunds for partial billing periods. You may cancel before the next billing cycle.

7. Intellectual Property

  • All content on edarpan.com including text, graphics, logos, and software is the property of eDarpan and protected by intellectual property laws.
  • You may not reproduce, distribute, or create derivative works without our written permission.
  • The eDarpan name, logo, and brand elements are registered trademarks.

8. Limitation of Liability

To the maximum extent permitted by law:

  • eDarpan shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount paid by you for the specific service in question during the 12 months preceding the claim.
  • We are not liable for any loss of data, business interruption, or loss of profits arising from the use of our services.

9. Termination

  • We reserve the right to suspend or terminate your access to our services at any time for violation of these Terms.
  • You may terminate your use of our services at any time by contacting us.
  • Upon termination, your right to use the services ceases immediately.
  • Provisions that by their nature should survive termination shall remain in effect.

10. Indemnification

You agree to indemnify and hold harmless eDarpan, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Dispute Resolution

  • Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.
  • If negotiation fails, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
  • The seat of arbitration shall be New Delhi, India.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

13. Force Majeure

eDarpan shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, pandemics, internet outages, or acts of terrorism.

14. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
